3.4 Election of the Chair and the Vice-Chair/Role of the Past Chair

Further to the election of Board officers, By-Law 2.12 seeks to ensure consistency and continuity of deliberations. The Board elects the Vice Chair in anticipation of one day electing them as Chair. The Vice Chair does not automatically assume the Chair as this is a Board elected position; however, the Vice Chair is in sound position to assume the Chair as they have the benefit of preparation.
Responsibilities for the Chair, Vice Chair and Immediate Past Chair might include:
a) Chair:
i. Responsibilities outlined in By-Law 2.16 and Policy 3.2.
b) Vice-Chair:
i. Coordinate the Governance matters of the Board.
ii. Be a member of the Executive Committee.
iii. Responsibilities outlined in By-Law 2.17.
c) Immediate Past Chair:
i. Mentors and advises the Chair
ii. Serves as a source of institutional knowledge.
iii. Be a member of the Executive Committee.
iv. Coordinate the strategic planning requirements of the Board.
v. Serve as a member of the Nominating Committee.
